• "Licence Agreement" means a separate written agreement between the Company and a Licensee governing use of the Engine.

2. Scope of these terms

These terms govern your use of the Website only. They do not grant any right to use the Engine.

Use of the Engine is governed exclusively by a separate written Licence Agreement. Where a Licence Agreement is in force, its terms take precedence over these terms in respect of the Engine and anything it produces. Nothing on this Website forms part of, varies or supplements any Licence Agreement.

Nothing on this Website, in any email, or in any other communication from the Company constitutes:

The Company makes no representation that any output of the Engine is suitable for onward distribution to any party.

4. Licensing

4.1 No offer

Nothing on this Website constitutes an offer to license the Engine or forms a binding contract. Information on this Website is for general information only. Licences are granted at the sole and absolute discretion of the Company, on terms agreed in writing case by case.

4.2 Enquiries

Submitting an enquiry through this Website does not create any obligation on the Company to grant a licence, respond, enter into negotiations or provide any information. We may decline any enquiry without giving reasons.

4.3 Confidential materials

Technical documentation, architecture detail and performance records are not published on this Website. Where such materials are made available during licensing discussions, they are provided under a non-disclosure agreement and remain confidential and proprietary to the Company.

5. Intellectual property

5.1 Ownership

All Website content, branding, text, graphics, visual materials, software and the Engine are the exclusive intellectual property of Hexagon Studio Ltd and are protected by UK and international copyright, trademark, trade secret and intellectual property laws. No licence or right in any of these is granted or implied by your use of the Website.

For the avoidance of doubt, the Engine and all intellectual property in it remain the property of the Company at all times. A Licence Agreement grants a right to use the Engine on the terms set out in that agreement. It does not transfer ownership of the Engine or any part of it.

Any breach of this section 5 may result in immediate termination of access to the Website and, where applicable, of any Licence Agreement in line with its terms. The Company reserves the right to pursue all available legal remedies, including claims for damages, injunctive relief and recovery of legal costs.

8. Indemnification

You agree to indemnify, defend and hold harmless Hexagon Studio Ltd, its directors, employees, contractors and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of this Website; (b) your breach of these terms; (c) your breach of any applicable law; or (d) any reliance placed on Website content for investment or financial decisions.
